Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Agent Flowz ("Company," "we," "us," or "our") governing your access to and use of the Agent Flowz platform, website, and related services (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, CREATING AN ACCOUNT, OR CLICKING ANY BUTTON OR BOX INDICATING ACCEPTANCE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU MAY NOT ACCESS OR USE THE SERVICE.

If you are using the Service on behalf of an organization or entity, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you and that organization.

2. Eligibility

To use the Service, you must:

• Be at least 18 years of age
• Have the legal capacity and authority to enter into binding contracts
• Not be prohibited from using the Service under applicable law
• Not have a previously terminated Agent Flowz account

The Service is designed for use by licensed insurance professionals, agents, and their organizations. By using Agent Flowz, you represent and warrant that you meet all eligibility requirements.

3. Account Registration & Security

When you create an account, you agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Keep your password confidential and not share it with any third party
• Notify us immediately at support@agentflowz.io of any unauthorized use of your account
• Accept full responsibility for all activities that occur under your account
• Not allow any person whose account has been suspended or terminated to use your account

We reserve the right to disable any account at any time if we believe you have violated these Terms or if your account information is false, inaccurate, or misleading. You are responsible for all activity under your account, whether or not you authorized it.

4. Subscription Plans & Billing

Agent Flowz offers paid subscription plans ("Plans"). By selecting a Plan and providing payment information, you agree to the following:

• You authorize us to charge your payment method on a recurring basis for the applicable subscription fees
• Subscription fees are billed in advance on a monthly or annual basis depending on your selected billing cycle
• You are responsible for all applicable taxes associated with your subscription
• You must keep your billing information current and accurate
• If your payment fails, we may suspend or terminate your access to the Service after reasonable notice

Price Changes: We reserve the right to change subscription pricing at any time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers. Continued use after the effective date of a price change constitutes your acceptance of the new pricing.

Refunds: Except as required by applicable law, subscription fees are non-refundable. We do not provide refunds or credits for partial months, plan downgrades, or unused Service time.

5. Free Trial

New accounts receive a 14-day free trial with full access to the features of your selected Plan. The following conditions apply:

• You must provide valid payment information to begin a trial
• You will not be charged during the 14-day trial period
• If you do not cancel before the trial ends, you will automatically be charged the applicable subscription fee
• We reserve the right to modify or terminate free trial offers at any time
• Only one free trial per person or organization is permitted

6. Cancellation

You may cancel your subscription at any time through Settings → Billing in your account dashboard. The following applies upon cancellation:

• Cancellation takes effect at the end of your current billing period
• You will retain access to the Service through the end of the paid period
• After the first 24 hours following a charge, we do not provide prorated refunds for partial billing periods (see Section 7 below for our 24-hour refund window)
• Your data will be retained for 90 days following account termination, after which it will be permanently deleted
• You may export your data at any time before termination

7. 24-Hour Refund Policy

Agent Flowz offers a 24-hour money-back guarantee on any new charge. Within twenty-four (24) hours of being charged, you may request a full refund of that charge through Settings → Billing in your account dashboard.

What is covered:

• Your initial subscription charge (SOLO, TEAM, AGENCY) and any subsequent renewal charge
• Power Dialer add-on charges (STARTER, PRO, POWER tiers)
• Any one-time charges associated with your account

Usage during the 24-hour window does not void your refund. You may exercise this refund even if you have already used connected minutes through the Power Dialer, sent SMS messages, made AI voice calls, or otherwise consumed Service features during those 24 hours. Costs we incur for telecom usage (Telnyx minutes, SMS segments, AI assistant minutes, voice synthesis) during that window are absorbed by us, not deducted from your refund.

How to request: Click the "Request 24-hour refund" button in Settings → Billing. The button is only visible while you are inside the eligibility window. The refund is issued to the original payment method via Stripe and typically clears within 5–10 business days depending on your card issuer. Your associated subscription is cancelled at the same time and your access to the Service ends immediately.

Limitations:

• The 24-hour window starts at the moment of the successful charge, not at signup. Free trials are not charges and are not eligible.
• Each individual charge has its own independent 24-hour window. You cannot retroactively refund an older charge by initiating a refund within 24 hours of a later one.
• If you previously received a refund on an earlier charge and re-subscribed, your eligibility for future refunds may be limited at our discretion to prevent abuse.
• Refunds initiated outside the 24-hour window are not guaranteed and will be reviewed on a case-by-case basis. Contact support@agentflowz.io.

This refund policy is in addition to any rights you may have under applicable consumer protection laws and does not waive those rights.

8. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to use Agent Flowz to:

• Violate any applicable federal, state, local, or international law or regulation, including but not limited to the TCPA, TSR, CAN-SPAM Act, and state telemarketing laws
• Contact individuals on the National Do Not Call Registry without a valid legal exemption
• Send unsolicited commercial messages, spam, or any communication without proper prior express consent
• Use automated dialing systems without obtaining proper prior express written consent as required by law
• Harass, threaten, defame, abuse, or intimidate any person
• Impersonate any person, entity, or organization
• Upload, transmit, or distribute malicious code, viruses, or any software designed to interfere with the Service
• Attempt to gain unauthorized access to any portion of the Service or its related systems
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
• Scrape, crawl, or otherwise collect data from the Service without our written permission
• Resell, sublicense, lease, or otherwise transfer your rights to use the Service
• Use the Service to engage in any fraudulent or deceptive practices
• Record calls without providing legally required disclosures and obtaining required consent

We reserve the right to investigate and take appropriate action, including suspension or termination of your account and reporting to law enforcement, if we believe you have violated this Acceptable Use Policy.

9. Telemarketing & TCPA Compliance

YOU ARE SOLELY AND EXCLUSIVELY RESPONSIBLE for ensuring your use of the dialer, calling, and messaging features complies with all applicable laws, including:

• The Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227
• The Telemarketing Sales Rule (TSR), 16 C.F.R. Part 310
• The CAN-SPAM Act
• All applicable state telemarketing, consumer protection, and privacy statutes
• CTIA guidelines for text messaging

Agent Flowz provides tools to assist with compliance but does NOT guarantee legal compliance. The platform does not scrub your lists against the National DNC Registry on your behalf — you are responsible for doing so. Violations of telemarketing laws can result in significant civil and criminal penalties, and you agree to indemnify Agent Flowz for any claims arising from your non-compliance.

10. Your Data & Content

You retain full ownership of all contact data, call records, recordings, notes, and other content you upload to or create within Agent Flowz ("Your Content"). By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and transmit Your Content solely as necessary to provide the Service to you.

You represent and warrant that:

• You have all rights necessary to upload and use Your Content on the Service
• Your Content does not violate any applicable law or third-party rights
• You have obtained all required consents from individuals whose data you upload

We will not access, sell, or share Your Content except as described in our Privacy Policy or as required by law.

11. Third-Party Services

The Service integrates with and relies upon third-party services, including but not limited to Twilio (calling and SMS), Stripe (billing), and Supabase (database). Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the actions, content, or policies of any third-party service provider.

We reserve the right to change our third-party service providers at any time. Such changes may affect certain features of the Service.

12. Intellectual Property

The Service, including its software, design, features, trademarks, logos, and all related intellectual property, is owned by Agent Flowz and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership interest in the Service.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on any part of the Service without our prior written consent. All rights not expressly granted herein are reserved by Agent Flowz.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AGENT FLOWZ EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (D) THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL AGENT FLOWZ, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
• OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO AGENT FLOWZ IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00)

THE LIMITATIONS IN THIS SECTION APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF AGENT FLOWZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15. Indemnification

You agree to defend, indemnify, and hold harmless Agent Flowz and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation, including any telemarketing or privacy laws; (d) your Content; or (e) your violation of any third-party rights.

16. Termination

Either party may terminate this agreement at any time. We reserve the right to suspend or terminate your account and access to the Service immediately and without notice if we determine, in our sole discretion, that you have:

• Violated any provision of these Terms
• Engaged in fraudulent, abusive, or illegal activity
• Failed to pay applicable subscription fees
• Used the Service in a manner that creates legal liability for Agent Flowz

Upon termination, your right to access and use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including but not limited to Sections 9, 11–16) shall survive termination.

17. Dispute Resolution & Arbitration

Informal Resolution: Before initiating any formal dispute, you agree to first contact us at support@agentflowz.io and attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

Binding Arbitration: If the dispute cannot be resolved informally, you and Agent Flowz agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding arbitration, rather than in court, except that either party may bring individual claims in small claims court.

Class Action Waiver: YOU AND AGENT FLOWZ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Governing Law: These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. To the extent court proceedings are permitted, you consent to exclusive jurisdiction in the state and federal courts located in Texas.

18. Force Majeure

Agent Flowz shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, pandemics, internet or telecommunications outages, or third-party service failures.

19. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 14 days' notice by email or in-app notification before the new Terms take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

20. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and TCPA Policy, constitute the entire agreement between you and Agent Flowz regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
• Time Limitation: Any claim arising out of or related to these Terms must be filed within one (1) year after the cause of action arose, or it is permanently barred.
